General Terms and Conditions of ESUS Logistics GmbH
1. Scope
These General Terms and Conditions apply to all present and future services provided by ESUS Logistics GmbH, Berghauserstraße 18, 85402 Kranzberg Thalhausen, Germany.
Any deviating or conflicting terms and conditions of the client shall not become part of the contract unless their validity has been expressly agreed in writing.
2. Contractual basis
All transport, freight forwarding, logistics and other services are provided exclusively on the basis of the German Freight Forwarders’ Standard Terms and Conditions (ADSp), as amended. In particular, the ADSp regulate:
- Rights and obligations of the client and freight forwarder
- Liability and limitations of liability
- Insurance provisions
- Special provisions for national and international transport.
The current version of the ADSp is available upon request.
3. Conclusion of contract
Offers by ESUS Logistics GmbH are subject to change and non-binding unless expressly agreed otherwise. A contract is concluded only by written order confirmation or by actual performance of the order.
4. Scope of services
The type and scope of the service are determined by the relevant offer, order confirmation or individual agreement. ESUS Logistics GmbH is entitled to engage third parties to fulfil its contractual obligations.
5. Prices and payment terms
The prices agreed in the offer or order confirmation apply. Unless otherwise agreed, invoices are due for payment immediately upon receipt without deduction.
6. Liability
The liability of ESUS Logistics GmbH is governed exclusively by the applicable German Freight Forwarders’ Standard Terms and Conditions (ADSp).
7. Jurisdiction and applicable law
German law applies. To the extent legally permissible, the place of jurisdiction is the registered office of ESUS Logistics GmbH.
8. Final provisions
Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
